These Terms of Use (“Terms”) govern your access to and use of mukhaye.com, the Mukhaye wedding directory, related subdomains, newsletters, digital products, forms, and other services that link to these Terms (collectively, the “Services”). The Services are operated by Portland Rose, LLC, doing business as Mukhaye (“Mukhaye,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Eligibility and Authority

You must be at least 16 years old to use the Services. If you are under the age of legal majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian. If you use the Services for a company, vendor, or other organization, you represent that you have authority to bind it to these Terms, and “you” includes that organization.

About Mukhaye

Mukhaye is an African lifestyle media platform offering editorial content, newsletters, curated resources, a wedding vendor directory, paid vendor services, sponsorship and advertising opportunities, and digital products. Features may be introduced, changed, suspended, or discontinued at any time.

Permitted Use

Mukhaye grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal or internal business purposes, subject to these Terms. No other rights are granted.

You may share links to Mukhaye pages and quote brief excerpts for commentary or reference with clear attribution and a link to the original page, to the extent permitted by law. Permission is required for any broader reproduction, commercial reuse, republication, or syndication.

Editorial Content and General Disclaimers

Articles, interviews, guides, recommendations, recipes, travel information, product selections, and other editorial materials are provided for general information and entertainment. Although we aim for thoughtful and accurate work, information can become incomplete, outdated, or inaccurate. You are responsible for independently verifying information before acting on it.

• Health, beauty, nutrition, and wellness. Content is not medical advice and does not create a clinician-patient relationship. Consult an appropriately qualified professional about symptoms, diagnoses, treatments, products, allergies, pregnancy, medications, exercise, or dietary decisions.
• Money, career, and legal topics. Content is not financial, tax, employment, investment, or legal advice. Seek advice suited to your circumstances.
• Recipes and products. Check ingredients, allergens, instructions, labels, and suitability for your needs. Manufacturers may change formulations or warnings.
• Travel. Destinations, prices, entry requirements, safety conditions, schedules, and availability change. Confirm current information with official authorities and providers and make your own risk assessment.

Wedding Directory

The Mukhaye wedding directory helps users discover vendors. Mukhaye is a publisher and directory provider, not the vendor’s agent, employer, partner, insurer, guarantor, marketplace, or party to any agreement between a user and vendor.

No endorsement or guarantee

A listing, badge, feature, ranking, paid placement, or editorial mention does not by itself mean that Mukhaye has inspected, licensed, certified, insured, or endorsed a vendor. We do not guarantee identity, credentials, quality, availability, pricing, safety, legality, performance, or results unless an express written statement says otherwise.

Your responsibility

You are solely responsible for evaluating vendors, checking references and credentials, confirming insurance and permits where relevant, reviewing terms, protecting payments, and obtaining a written contract. Any transaction or dispute is between you and the vendor.

Listing accuracy and removal

Directory information may come from vendors, their representatives, partners, or public sources and may change without notice. Vendors may request a correction, claim, or removal by contacting weddings@mukhaye.com. We may require reasonable verification and may edit, reject, suspend, or remove a listing to protect users, comply with law, or preserve directory quality.

Vendor Services and Paid Placement

Mukhaye may offer profile optimization, enhanced listings, featured placement, sponsorships, or other paid services. The order page, proposal, insertion order, or service agreement will state the scope, fees, duration, renewal terms, cancellation terms, and deliverables. If those additional terms conflict with these Terms, the more specific additional terms control for that service.

Paid placements will be identified where required. Payment does not guarantee editorial coverage, a particular ranking, traffic, enquiries, bookings, or revenue, and it does not control independent editorial judgments unless content is expressly labeled sponsored or paid.

Purchases and Digital Products

Orders and payment

Prices, currency, taxes, and payment terms are shown at checkout or in an order document. You authorize Mukhaye and its payment provider to charge the payment method you supply. We may refuse or cancel an order for suspected fraud, pricing or description errors, technical problems, legal restrictions, or unavailability and will refund amounts charged for a cancelled order where required.

Digital delivery and license

Unless a product page says otherwise, a purchased download is licensed to one purchaser for personal, non-commercial use. You may store and print reasonable copies for your own use. You may not share the file publicly, distribute it to others, resell it, upload it to a shared library, remove ownership notices, or create a competing product from it.

Refunds

Except where the checkout page states otherwise or applicable law requires, digital-product sales are final after the file or access link has been delivered. If a file is defective or inaccessible, contact hello@mukhaye.com promptly so we can provide a replacement or another appropriate remedy. Where consumer law requires express consent before immediate digital delivery and acknowledgment that a cancellation or withdrawal right will be lost, the checkout process will request that consent and acknowledgment.

Advertising, Sponsorships, and Affiliate Links

Mukhaye may publish advertising, sponsored content, brand collaborations, gifted-product coverage, and affiliate links. We aim to identify material commercial relationships clearly and prominently where required. If you purchase through an affiliate link, Mukhaye may receive a commission at no additional cost to you.

Unless expressly stated, a commercial relationship does not guarantee a favorable opinion. Advertisers and sponsors are responsible for their claims, products, services, offers, fulfilment, and legal compliance. Your transaction with a third party is governed by that party’s terms.

Submissions, Pitches, and User Content

Contributor pitches and unsolicited ideas

You retain ownership of a pitch or original material you submit. You give Mukhaye a limited, non-exclusive, worldwide, royalty-free license to receive, copy, store, and internally share it as reasonably necessary to evaluate and respond to the submission. Submission does not require us to review, accept, publish, pay for, or keep the material confidential. Because similar ideas may be developed independently or submitted by others, you should not send confidential concepts without a separate written confidentiality agreement. If we commission or accept work, publication rights and payment will be governed by a separate contributor agreement.

Content submitted for publication

If you submit a review, comment, photograph, real-wedding feature, vendor material, or other content for possible publication, you represent that the submission is accurate, that you own it or have all necessary permissions, and that its use will not violate privacy, publicity, copyright, trademark, contract, or other rights. Any publication license will be stated in the submission form or a separate release. If none is stated, you grant Mukhaye a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, and distribute the content through the Services and Mukhaye’s own promotional channels for as long as it remains published. You may request removal, but removal may not affect prior authorized uses, archival copies, or legal records.

We may decline, edit for format or clarity, moderate, or remove submitted content. You may not submit unlawful, infringing, defamatory, deceptive, harassing, hateful, explicit, privacy-invasive, or malicious material, or undisclosed advertising or fabricated reviews.

Intellectual Property

The Services and their content, including articles, photographs, videos, illustrations, graphics, logos, names, databases, directory selection and arrangement, page designs, software, and overall look and feel, are owned by or licensed to Mukhaye and are protected by copyright, trademark, database, and other laws. Third-party names and marks belong to their respective owners.

Except for the limited permission in these Terms or a right granted by law, you may not copy, reproduce, republish, translate, adapt, distribute, sell, license, publicly display, publicly perform, frame, mirror, or create derivative works from the Services without prior written permission. No use of the Mukhaye name, logo, trade dress, or other brand assets is permitted without written consent.

Prohibited Conduct

You agree not to:

• violate any law, regulation, court order, contract, intellectual-property right, privacy right, or other right;
• scrape, crawl, harvest, copy, or extract content or directory data by automated means except as expressly permitted by our robots.txt or written authorization;
• build, enrich, train, or operate a competing directory, dataset, model, product, or service using Mukhaye content or data without written permission;
• circumvent access controls, rate limits, consent tools, security measures, or technical restrictions;
• interfere with the Services, introduce malware, probe vulnerabilities, or attempt unauthorized access to systems or accounts;
• impersonate another person, misrepresent an affiliation, submit false listing information, manipulate rankings, or post fabricated or incentivized reviews without required disclosure;
• collect or use information about other users or vendors for spam, harassment, unlawful marketing, or another unauthorized purpose; or
• use the Services in a way that is fraudulent, abusive, defamatory, discriminatory, obscene, threatening, or otherwise harmful.

Copyright Concerns

If you believe content on the Services infringes your copyright, send hello@mukhaye.com a notice identifying the protected work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove material and, where appropriate, notify the person who supplied it.

Third-Party Sites and Services

The Services may link to or integrate with retailers, vendors, travel providers, social networks, advertisers, payment services, and other third parties. We do not control and are not responsible for their content, availability, security, privacy practices, terms, pricing, or performance. A link or integration does not by itself constitute endorsement. Use third-party services at your own risk and review their terms and policies.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, LISTINGS, PRODUCTS, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MUKHAYE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, secure, error-free, complete, current, free of harmful code, or suitable for any particular result. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MUKHAYE, PORTLAND ROSE, LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRIBUTORS, CONTRACTORS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON CONTENT, A VENDOR ENGAGEMENT, A THIRD-PARTY SERVICE, OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID DIRECTLY TO MUKHAYE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT. These limits do not exclude liability that cannot lawfully be limited, and your mandatory consumer rights remain unaffected.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Mukhaye, Portland Rose, LLC, and their owners, officers, employees, contributors, contractors, licensors, and partners from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your submitted content, your unlawful or unauthorized use of the Services, your violation of these Terms, or your violation of another person’s rights. This section does not apply to the extent prohibited by consumer law.

Suspension and Termination

We may suspend, restrict, or terminate access, remove content, or discontinue all or part of the Services if we reasonably believe there is a violation of these Terms, a security or legal risk, non-payment, misuse, or a need to protect Mukhaye, users, vendors, or third parties. Provisions that by their nature should survive termination will survive, including intellectual-property, payment, disclaimer, liability, indemnity, and dispute provisions.

Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except that mandatory consumer protections in your place of residence remain available where they cannot lawfully be waived.

Before filing a claim, you and Mukhaye agree to make a good-faith effort for 30 days to resolve the dispute informally. Send a written description of the issue and requested resolution to hello@mukhaye.com. If the dispute is not resolved, each party consents to the personal jurisdiction of the state and federal courts located in Florida, except where applicable consumer law gives you the right to bring a claim elsewhere.

Changes to the Services or Terms

We may update these Terms to reflect changes in the Services, business, or law. We will post the revised Terms and update the effective date. Material changes apply prospectively and, where required, we will provide additional notice or request consent. Continued use after revised Terms take effect means you accept them.

General Terms

These Terms, the Privacy Policy, and any additional terms that apply to a specific purchase or service form the entire agreement between you and Mukhaye regarding the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent; we may assign ours in connection with a reorganization, financing, sale, or transfer of the Services. Headings are for convenience only. These Terms do not create an agency, partnership, joint venture, employment, or franchise relationship.
